Welcome to Perché, a digital marketing agency committed to helping businesses thrive in the digital space. By engaging with our services, you agree to the following Terms of Service. Please read these terms carefully before using our services.
1. Services Provided
Perché offers a range of digital marketing services, including but not limited to:
Social Media Management (organic and paid)
Search Engine Optimization (SEO)
Content Creation
Digital Advertising Campaigns
Website Development and Maintenance
Analytics and Reporting
All services will be delivered in accordance with the scope and timeline outlined in your service agreement.
2. Client Responsibilities
To ensure the success of our services, clients are required to:
Provide accurate and timely information, including access to social media accounts, website credentials, or any other relevant platforms.
Approve content, campaigns, and deliverables promptly.
Communicate any changes to project goals or requirements in a timely manner.
Failure to meet these responsibilities may result in delays or additional charges.
3. Payment Terms
Clients are required to pay 50% of the total project fee upfront unless otherwise agreed upon in writing.
The remaining balance is due upon completion of the project or as per the milestone schedule outlined in the service agreement.
Monthly retainers must be paid in full at the beginning of each billing cycle.
Late payments are subject to a 5% late fee for each 15-day period they remain unpaid.
4. Cancellation and Refund Policy
Clients may cancel services by providing written notice at least 30 days in advance for ongoing contracts.
Refunds are not available for work already completed.
For monthly retainers, refunds will not be provided for the current billing cycle.
5. Confidentiality
Perché agrees to treat all client information as confidential and will not disclose it to any third party without prior consent, except as required by law. Clients are also expected to maintain the confidentiality of any proprietary methods or strategies shared by Perché.
6. Intellectual Property
Perché retains ownership of all materials, strategies, and intellectual property developed until full payment is received.
Upon full payment, clients are granted a non-exclusive, non-transferable license to use the deliverables for their intended purposes.
7. Performance Disclaimer
While Perché strives to deliver measurable results, we do not guarantee specific outcomes, including rankings, traffic, or conversions, as these depend on factors outside our control (e.g., market trends, algorithm changes).
8. Indemnification
Clients agree to indemnify and hold Perché harmless from any claims, damages, or liabilities arising from the use of our services, including any third-party claims resulting from content provided by the client.
9. Limitation of Liability
Perché is not liable for any indirect, incidental, or consequential damages resulting from the use or inability to use our services. Our total liability shall not exceed the total fees paid by the client for the specific service.
10. Termination
Perché reserves the right to terminate services at any time if:
The client breaches these Terms of Service.
Payments are not made as agreed.
Client behavior is deemed abusive or unprofessional.
Any remaining fees for work completed will still be due upon termination.
11. Amendments
Perché reserves the right to update these Terms of Service at any time. Clients will be notified of any significant changes. Continued use of our services constitutes acceptance of the updated terms.
12. Governing Law
These Terms of Service are governed by the laws of the State of Florida. Any disputes will be resolved in the courts of Hillsborough County, Florida.
